One CVD Equipment Insider Raised Stake By 20% In Previous Year

Insiders were net buyers of CVD Equipment Corporation's (NASDAQ:CVV ) stock during the past year. That is, insiders bought more stock than they sold.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At CVD Equipment

Over the last year, we can see that the biggest insider purchase was by Director Andrew Africk for US$1.1m worth of shares, at about US$5.07 per share. That means that an insider was happy to buy shares at above the current price of US$3.92. Their view may have changed since then, but at least it shows they felt optimistic at the time. To us, it's very important to consider the price insiders pay for shares. Generally speaking, it catches our eye when an insider has purchased shares at above current prices, as it suggests they believed the shares were worth buying, even at a higher price. Andrew Africk was the only individual insider to buy shares in the last twelve months.

Andrew Africk bought 506.51k shares over the last 12 months at an average price of US$5.22. Does CVD Equipment Boast High Insider Ownership?

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It appears that CVD Equipment insiders own 27% of the company, worth about US$7.3m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Do The CVD Equipment Insider Transactions Indicate?

The recent insider purchase is heartening. And the longer term insider transactions also give us confidence. But on the other hand, the company made a loss during the last year, which makes us a little cautious. When combined with notable insider ownership, these factors suggest CVD Equipment insiders are well aligned, and that they may think the share price is too low. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company. Every company has risks, and we've spotted 1 warning sign for CVD Equipment you should know about.
