(Reuters) -Teleperformance said on Wednesday it plans to buy rival Majorel for 3 billion euros ($3.3 billion), with further acquisitions focused on digital transformation possible as early as this year, its CEO Daniel Julien added. Bertelsmann and Saham, majority shareholders in Majorel, have irrevocably committed to tender their shares, the French outsourcing and call centre group said in a statement. Teleperformance is offering 30 euros in cash for each Majorel share, with an option for its shareholders to receive shares at an exchange ratio of 0.1382.
PARIS, April 26, 2023--Regulatory News: Teleperformance (Paris:TEP), a global leader in digital business services, today announced its proposed voluntary cash and share offer for all shares in Majorel (the "Shares"). Teleperformance offers €30 per share1 for a total consideration of €3bn. The Majorel shareholders can also elect to receive Teleperformance shares at an exchange ratio of 0,1382 Teleperformance share for each Majorel share, up to a maximum of €1bn in Teleperformance shares.
Teleperformance, which employs more than 420,000 call centre workers worldwide, said it now expected like-for-like revenue growth, excluding contracts for online services acquired during the COVID-19 pandemic, of between 8% and 10%, down from previous guidance of about 10%. It raised, however, its target for earnings before interest tax, depreciation and amortisation margin to about 16% from 15.7% previously. For the first quarter, Teleperformance reported revenues of slightly over 2 billion euros ($2.19 billion) a 1.9% like-for-like increase from a year ago.
