Is announcing a non-brokered private placement for gross proceeds of up to $1,000,000 from the sale of units of the Company at a price of C$0.06 per Unit. Each unit will consist of one common share of the Company and one common share purchase warrant. Each Warrant will entitle the holder thereof to purchase one common share of the Company at a price of C$0.09 for a period of 24 months following the closing date of the Offering.
