Roku CEO Anthony Wood 2023 Pay Slips to $20.2 Million, Media Chief Charlie Collier’s Compensation Was $6.8 Million

Anthony Wood, founder, chairman and CEO of Roku, had a pay package worth just over $20.2 million in 2023, while Roku’s media boss, Charlie Collier, received $6.8 million in salary.

Wood’s compensation last year included salary of $1.2 million, stock awards worth $7.57 million and stock option awards ​valued at $11.43 million, according to Roku’s proxy statement filing Friday with the SEC. It was 3.7% below his overall $21 million package in 2022.

Collier’s 2023 compensation included a base salary of $6.825 million and $18,825 worth of medical and life insurance premiums paid by the company. Collier opted to forego $1 million of his salary 2023 in exchange for monthly grants of vested stock options at an intended valuation of that amount.

For 2022, Collier’s pay package was worth $53.3 million — most of it in stock equity awards and stock options that vest over a period of four years, subject to the exec remaining employed with Roku. In 2022, Collier left his post as CEO of Fox Entertainment to become president of Roku Media, where he now oversees content and ad sales for the Roku Channel.

In 2023, Roku reported $3.48 billion in revenue (up 11.5%) and a net loss of $709.6 million (versus a net loss of $498 million the year prior). Last year, the company laid off about 500 employees and made other cost-cutting moves including consolidating office space and removing at least three dozen underperforming titles from the Roku Channel.

Wood, 58, has served as CEO since October 2002 and as chairman since February 2008. His salary hasn’t changed since July 2018, “consistent with the belief that our CEO’s compensation should be more heavily weighted toward equity awards, to further align the interests of our CEO with the interests of our stockholders,” Roku said in the filing. In 2023, Wood elected to forego $600,000 of his salary in exchange for monthly grants of vested stock options of that value.

Among Roku’s other named executive officers, CFO Dan Jedda ​– who joined the company in May 2023 — received a pay package worth $18 million, including salary of $1.37 million and $16.6 million in stock awards, the latter representing a “new hire equity award” that vests over four years. Mustafa Ozgen, president of devices, products and technology, earned $7.07 million (versus $6.6 million the year prior); Gidon Katz, SVP of platform products and user experience, had a pay package worth $7.4 million (down from $13.35 million); and former CFO Steve Louden received $7.83 million (versus $8.55 million in 2022).

At Roku’s 2023 annual meeting of stockholders, in an advisory vote, 79% of votes were cast in favor of the “say-on-pay” proposal on the compensation of the company’s top executives.

As of April 8, 2024, Wood owned 1.5 million shares of Class A common stock ​(1.2% of outstanding shares) and 17.1 million shares of Class B common stock, giving him ​57.4% of total voting power in the company.
