Did Trecora Resources (NYSE:TREC) Insiders Sell Shares?

It is not uncommon to see companies perform well in the years after insiders buy shares. On the other hand, we'd be remiss not to mention that insider sales have been known to precede tough periods for a business. So shareholders might well want to know whether insiders have been buying or selling shares in Trecora Resources (NYSE:TREC).

Do Insider Transactions Matter?

Most investors know that it is quite permissible for company leaders, such as directors of the board, to buy and sell stock on the market. However, most countries require that the company discloses such transactions to the market.

We don't think shareholders should simply follow insider transactions. But equally, we would consider it foolish to ignore insider transactions altogether. As Peter Lynch said, 'insiders might sell their shares for any number of reasons, but they buy them for only one: they think the price will rise.'

The Last 12 Months Of Insider Transactions At Trecora Resources

Over the last year, we can see that the biggest insider sale was by the Director, Nicholas Carter, for US$272k worth of shares, at about US$8.33 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$9.10. We generally consider it a negative if insiders have been selling on market, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. However, while insider selling is sometimes discouraging, it's only a weak signal. We note that the biggest single sale was only 6.6% of Nicholas Carter's holding.

Happily, we note that in the last year insiders paid US$85k for 8945 shares. But they sold 79684 for US$759k. In total, Trecora Resources insiders sold more than they bought over the last year. Trecora Resources Insiders Are Selling The Stock

Over the last three months, we've seen significant insider selling at Trecora Resources. In total, Fahad Al-Athel dumped US$149k worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the directors think that the shares are a bargain.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Trecora Resources insiders own about US$36m worth of shares. That equates to 16% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

What Might The Insider Transactions At Trecora Resources Tell Us?

An insider hasn't bought Trecora Resources stock in the last three months, but there was some selling. And our longer term analysis of insider transactions didn't bring confidence, either. Insiders own shares, but we're still pretty cautious, given the history of sales. We're in no rush to buy! Of course, the future is what matters most.
