(TSXV:GQ) (“the Company”) reports that it has terminated its efforts to close the acquisition of Ivoirienne de Noix de Cajou SARL. As consideration for the termination, the Company will repurchase 5,443,300 of its common shares for a nominal $1 and receive a full and final release from the outstanding remaining convertible debt and any and all other amounts owing to the transaction counterparties.The Company’s board of directors undertook reasonable investigations and reviewed the alternatives in considering and applying their judgment to approve this transaction. Great Quest Fertilizer Ltd (GQ.V) (the “Company”) has amended the terms of its non-brokered private placement previously announced on November 21, 2019 (the "Offering"). The price per security in the Offering is being reduced to $0.10 to match the recently launched financing announced May 6, 2020. All securities issued or issuable under the Offering will be subject to a statutory hold period lasting four months and one day following the closing of the Offering.
The Private Placement will consist of up to 2,500,000 units of the Company (each, a "Unit"), at a price of $0.10 per Unit. Each Unit shall consist of one common share in the capital of the Company (each a "Share") and one common share purchase warrant.
