VANCOUVER, June 11, 2019 /CNW/ - Village Farms International, Inc. ("Village Farms" or the "Company") (TSX:VFF - News) (NASDAQ:VFF - News) today announced that Governor Greg Abbott has signed into law Texas House Bill 1325 (the "Texas Hemp Legislation"), which effectively legalizes the cultivation of hemp and processing of hemp and hemp-derived products, including cannabidiol (CBD) in the State. As previously announced, in anticipation of the passage of the hemp legislation in Texas, Village Farms has begun conversion of half of its 1.3 million square foot, ultra-high-tech Permian Basin greenhouse (which utilizes the Company's proprietary GATES® technology) for cultivation of high-CBD hemp and CBD extraction. The Texas Hemp Legislation will require licenses for both the cultivation and processing of hemp and Village Farms plans to apply for the requisite licenses as soon as it is permitted to do so. No time frame has yet been provided by the State of Texas for the licensing process.

NASDAQ:VFF) today announced it has entered into an agreement with Arkansas Valley Hemp, LLC ("AV Hemp") to form a joint venture for the outdoor cultivation of high-cannabidiol (CBD) hemp and CBD extraction in Colorado. The joint venture, Arkansas Valley Green and Gold Hemp LLC ("Arkansas Valley Green and Gold"), will be 60%-owned by Village Farms, 35%-owned by AV Hemp, and 5%-owned by Village Fields Hemp (Village Farms' 65%- owned joint venture for hemp cultivation and CBD extraction in the U.S. states other than Colorado). Based in the Arkansas Valley of Colorado, AV Hemp was established by the founder of one of Colorado's largest licensed outdoor cannabis growing operations and real estate developer, specifically to capitalize on the significant opportunity in hemp-derived CBD. Arkansas Valley Green and Gold is targeting to be in production on approximately 120 acres in the Arkansas Valley in 2019, increasing Village Farms total planned hemp production area for its two hemp joint ventures for 2019 to more than 920 acres (for all of which adequate quantities of hemp seed has already been purchased). Arkansas Valley Green and Gold plans to expand to as much as 500 acres in 2020.

The Processing License permits Pure Sunfarms to extract and process cannabis at the Delta 3 facility, which will enable the development and manufacture of products derived from the cannabis plant, including cannabis oil, as well as concentrates and edibles. Pure Sunfarms will require an additional amendment to its sales license to sell cannabis oil, which it expects to be distributing to provincial/territorial distributors and private retailers by the fourth quarter of this year.

("Village Farms" or the "Company") (TSX:VFF - News) (NASDAQ:VFF - News) applauds the passage yesterday by a unanimous vote of House Bill 1325 ("HB 1325" or "the Bill") today by the Texas State Senate. HB 1325 is a bi-partisan bill that, if passed into law, will establish a Texas Hemp Program, providing a regulatory and licensing framework for the cultivation and processing of hemp, as well as for products made from hemp, including cannabidiol (CBD). On April 24, 2019, HB 1325 was unanimously passed by the Texas State House of Representatives.
