Excellent the offer is now at $11.50 from the new bidder.
With a binding proposal expected on 21 jan from them.

Does anyone have a theory as to why the shares traded down so much today? Perhaps, the prospects of a competing offer above the agreed $10.85 are fading, but today's drop on three times typical volume seemed excessive.

It just doesn't seem plausible that Chatham is going allow a 15 cent better bid to become the winning bid.
There's things going on behind the curtain that we should soon be informed of by Chatham.

WooHoo! 8-K filed last night. The Strategic third party ("STP") who had previously made a $11 non-binding proposal has now updated their proposal, increasing it to $11.50 cash. The STP "has substantially completed its financial, legal, tax and other due diligence on RRD and its business." "...the Strategic Party requires an additional three weeks to obtain committed financing (February 8, 2022)."

This looks like it could turn firm, which I think would force Chatham to increase its terms. Chatham owns nearly 15% of the stock and close to $700 of RRD bonds. They're not going to let an interloper steal their deal. Run baby run!

Hope the offer isn’t getting upset by recent Macro/Fed numbers

Only a dime improvement by Atlas ..This will be a longer process now.. Bid is to Chatham!! Still worth upwards to $3 more than the bid.. Do I hear $10.50? , do I hear $11??

Here's what we see happening next.
Chatham declares we are going to stop playing this penny ante one ups man ship game and here's our bid of $12 to get this deal done and closed.
Then nobody else comes back and the deal is done for Chatham at $12.

Chatham needs to come back in with a $12 offer now to secure the deal once and for all.

Why do these companies send out bond redemption offers to basically only help top management and the company itself while at the same time providing the most archaic explanation of what a bond holder will actually get for the tender offer. In addition even if the directions are more coherent, 99% of the time the offers absolutely suck. I recommend no one tender in their bonds. I will be enjoying for the next 9.5 years over $8,000 in interest from Donnelly by rejecting this tender offer. Now if they wanted to offer close to a 35% premium over the current bond prices then I might be interested, but otherwise don't even contact me again.

Have never seen bidders come in with such tiny increases over the previous bidder before when their are multiple bidders.
Do they seriously believe that the previous top bidder is going to capitulate over 15 cents?

Finally out. I bought into RRD before the spinoff into DFIN and LKSD. RRD traded above $20 per share at one time before the spinoff. As most of us know, LKSD is now bankrupt, and DFIN is doing quite well. I have lost just about half my investment after all is said and done.
A special “thank” you goes out to the bald weirdo on CNBC for hyping the original RRD stock for the unlocking of value that was to come from the spinoff. The only value we got was a hard lesson in gullibility.
Good luck to the rest of you all!

Take a look at TSX: DCM. It is a direct comp to RRD (although smaller) and is trading at $1.14. Really compelling story and could be a consolation prize for whoever loses out on RRD. Take the 7x EBITDA multiple that RRD is getting and apply it to DCM, your looking at $3 per share.

Who is buying @ $10.73 with a $10.25 offer on the table? What did I miss, people that optimistic of an Atlas counter?

Gotta love how Chatham is playing this management like a grand piano. No position, but entertaining to watch this unfold.

Funny how everybody is happy with $10.00 when this company with the right management should be 5 times that number. But shareholder have put up with poor management for way too long, w and in the end this is what happens.

management members will have legal troubles. They should never decided to sell RRD for $8.52 without a consulting process especially with a previous offer of Chatman at $7.50. What they did is crazy. 20 millions are not peanuts.
