I have been reading the history of the negotiations--as published by NIC in their solicitation for support for the merger. It looks like a reasonable negotiation occurred. The only real reason for anyone to question the result is the relatively small number of shares owned by insiders (especially those who were responsible for making and approving the deal) compared to the 90% owned by institutions and index funds. As I said in a previous post which I cannot find, the price before the negotiations began fluctuated, but was mostly in the low to mid 20s. $34 for a stock trading at $24 is a good deal. I sold my direct holdings at $34.58 and was pleased to receive the extra 50¢ a share.

IMO it's because at least one of the multiple class-action lawsuits over the sale price will result in the Board reconsidering the suitor and price they settled for of $34/share. I was expecting PayPal to buy them.

seems like anything over $34 is icing at this point. I'll take that.

Why are people buying over the stock over the buyout price of 34$?

Haven't done much research on the 4Q results yet, I just read a summary. Other than the tax rate being fairly high for Q4 2017 compared to Q4 2016, what went wrong? They seemed to have beat numbers. Does anyone have any idea? Thank you.

I decided to sell out of this position... I remind myself you have to know when you've lost. Oh well, on to the next one!

Anybody know what's up? 4x volume before lunch and down over 7%. No press release or news that I can find. Maybe some major holder exiting or lowering position?

It's been tough holding on to this thing through the last year, $25 to $16.50 now. Wish they could break through into the Federal contracts. Everyone seems to be waiting for news.

I can't find anything in the news to explain today's 8+% rise. Either something in happening with Texas or the MM's caught the shorts with their pants down and tripped their stoploss orders. The volume is huge, over 1.75 million shares vs usual 400-500K.

EGOV pops up and down, usually on relatively small volume, because some insider or large shareholder is selling and the MM's are taking them to the cleaners. All this technical BS you see about money flow is just to sell advisory services. The company's growth, after recovering from the loss of the Texas portal contract, has been and will be pretty steady, and they should be quite profitable. Secular growth, from new apps installed in each of their states, and from general economic growth, should continue. It may be that their ventures into specialties will pay off. Pot licensing, for example. I know someone in the insurance industry who has joined a startup which is creating insurance products for the legal marijuana industry in 28 states. There are so many roles in that industry, growing, processing, distribution, testing and certification, and medical and recreational retail, that licensing may become a very important big app.

There are two possible reasons for the big drop today. Either someone knows something negative about EGOV which is not public information or some substantial holder--not likely an insider--wanted to reduce their position and either tripped some stops of got taken to the cleaners by the market-makers. Such a drop is likely to have triggered an inquiry by NASDAQ asking management if there were any reason they knew which would account for the drop. Since we didn't see any news, I suspect a big holder sold and got taken to the cleaners.

IMHO EGOV is below the $17-18 price range where it should be.

EGOV has always had a pretty high tax-rate (at least compared to some other companies). I wonder if this tax bill will help them more than expected...

This kind of headline can't hurt:

NIC (NASDAQ:EGOV) has won new multi-year contracts with the states of Florida and Iowa following competitive bid processes. That's the big news. Iowa 15-year relationship ended in 2017, was won back in a competitive bid process. Florida is apparently new. 5 years plus 5-year renewal option.

Wow...a 30% pop and not a word from anyone...regretting jumping out with a 12% gain a while back...congrats to the longs!

Every state where NIC is either incumbent or trying to become incumbent offers lots of opportunities for their employees and contractors to know things not known by the general public. That results in opportunities for such people--or their cousins and their sisters and their aunts--to try trading on non-public information. Control of the actions of people associated with NIC's counterparties is--beyond cautionary warnings which I am sure are issued--is not within NIC's power.
