Etain is an established dispensary here in NY. They have their own strain with state of the art growing facilities. One of the only ones in the state. It is primed to be the major player in the recreational market once the rules and regs are worked out. A NYS recreational license will cost a fortune and will sideline the growth of little corner head shops like you find in MA. For someone to enter the recreational biz in NY and be a major player - Etain was a good buy.

Guys less than 2 years ago this stock went from CAD 0.70 to CAD 3.60. With SAFE bank hopefully passing before 2024 we should see all the MJ stocks increase by 5 to 10 times. that's my only hope To be honest.

I'm not thrilled about the current share price, but I don't think it's all doom and gloom. Hopefully I'm not the only one thinking this. After waiting this long for something to happen, I won't be leaving now. I'm waiting to see what happens! Etain seems promising. Would be great if RIV got another iron in the fire with another investment. But if we're just going with Etain, so be it. Let's close on the deal!

It really puts me on guard when a company suddenly shifts their entire approach to business.
Historically RIV has said they want to be an investment arm and find and develop disruptive companies. (Leaflink, Headset, etc.)
No suddenly they want to do retail sales. Why the tectonic shift in direction?

    Am I missing something?

Narbe is a smart guy that told shareholders for years he and his teams have conducted 1000’s of interviews and heard pitches? 😅 They may need to back up those comments.

    Good morning ,
Now that the money has been somewhat spent does anyone know what fair value is with this at $1.18 a unit?

Did a quick calculation and I think net cash per share after the acquisition on a fully diluted share count basis works out to be $1.02 CAD.

I used the outstanding share data in the last MD&A and added the dilution from the 26.4 million shares used as consideration, the convertible note for the 25 Million being advanced at 1.65 per share, and the other convertible note for the 40 million being advanced (assuming that will be convertible at 1.65 per share too but not 100% on that). That gives a fully diluted share count of 321.6 million shares.

Net cash in the last financial statement was US $405.6 million. Add in the extra $65 million being advanced to RIV capital and that gives $465.6 million. Taking out the $212 million being paid in cash for the acquisition leaves RIV with $253.6 million.

Dividing the cash by the fully diluted share count gives approximately 0.79 USD per share or $1.02 CAD per share. Could be wrong as this is a rough calculation and I might have missed some variable but this is what I was able to come up with.

Literally just lit $125M of cash on fire. The other $125M is riding on an unrecognizable brand that differentiates itself from the pack by having 3 middle aged unknown women running the show.

Guys please stop panicking: If RIV was the only stock nearing 52 weeks low I would totally freak out.
Looks at TCNNF, VRNOF: All at or near 52 weeks low and those are good examples of what RIV will be in the future.

Sentiment is at its lowest for weed stock far away from fundamentals. It's time to be greedy and buy more shares if you can afford to wait 1 to 2 years.

"be greedy when others are fearful and be fearful when others are greedy"

When is the Etain deal set to close? River’s strategy of investing in private companies is a brilliant way to rip off investors because no one can verify the private company’s earnings lol

You would think insiders and the board of directors would buy shares on the open market to give there long term investors some confidence!? Crickets
