What a great deal for Hill Street. Look at the high deemed share price set to meet the payment for the acquisition and strike price for the warrants. The requirment of producing cannabis infused drinks separately from their regular products have also been addressed with the acquisition of OneLeaf's building. The separate building issue was previously my main concern and the company addressed it without taking on significant debt or dilution. Very impressed with management. We are only at 19m market cap. Accumulate while the share price is still low.

I may be trying to connect to many dots here but I'm going to toss it out there anyway.

Hillstreet is available in the Loblaw family of stores, including Loblaws, Shoppers, and Zehrs.
In Dec 2017 Aphria signed a deal to be exclusive supplier to of medical cannabis to Shoppers
Hillstreet indicated that future investment by a major LP is forthcoming.
Aprhia signed a LOI with Perennial, a DCM company, to form a JV to to collaborate on the development of new products, brands and product categories that will drive the evolution of the Canadian adult-use cannabis market.
Perennial lists having worked with Loblaw previously.

Could it be that Aprhia is the future investor in Hillstreet, and that Aphria wants to create it's own brands versus taking on Molson, Constellation, Diageo as a partner?

Think I’m done... Received this mail from our boy Terry...

Hill Street Beverage Company Inc. has invited you to subscribe to the Hill Street Beverage Company Private Placement financing.
I hope this finds you well. I wanted to send you a link to an article featuring Hill Street in the Globe’s Cannabis Professional. This highlights the rationale behind our mutual decision to cancel the OneLeaf acquisition, and turn to a new cohort of copackers emerging in the cannabis beverage sector to produce our infused beverages.

This strategic shift will eliminate the roughly 45% dilution for our shareholders from the acquisition, reduce business complexity for us, and eliminate the need for many millions in capital costs to build out and operate a fully compliant building and bottling lines to produce infused beverages. Of course, there will be an impact on our cost of goods, as we will be purchasing finished goods instead of raw materials, but we believe it is much better to issue a purchase order for inventory with a deposit and payment upon delivery in a matter of weeks, than to spend many millions and likely wait many months before we could produce our first products.

The outcome of this decision is that we anticipate having our infused products in the market many months earlier than was originally foreseen had we gone ahead with the acquisition of a cultivator, and then retrofitted their building to allow for bottling and canning lines.

To achieve our goals we are initiating a non-brokered $2 million financing for units priced at $0.08 per unit, with each unit consisting of one common share and one full warrant to purchase a common share at a strike price of $0.13 for a period of two years, subject to acceleration. To date our board and management have committed up to 25% of the round.

If you have any questions, please don't hesitate to contact me directly.
