Who Has Been Selling FARO Technologies, Inc. (NASDAQ:FARO) Shares?

We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So shareholders might well want to know whether insiders have been buying or selling shares in FARO Technologies, Inc. (NASDAQ:FARO).

What Is Insider Buying?

It's quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, most countries require that the company discloses such transactions to the market.

We don't think shareholders should simply follow insider transactions. But it is perfectly logical to keep tabs on what insiders are doing. For example, a Columbia University study found that 'insiders are more likely to engage in open market purchases of their own company’s stock when the firm is about to reveal new agreements with customers and suppliers'.

FARO Technologies Insider Transactions Over The Last Year

Over the last year, we can see that the biggest insider sale was by the insider, Simon Raab, for US$1.0m worth of shares, at about US$68.00 per share. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. The good news is that this large sale was at well above current price of US$50.68. So it may not shed much light on insider confidence at current levels.

In the last twelve months insiders netted US$1.2m for 17873 shares sold. FARO Technologies insiders didn't buy any shares over the last year. FARO Technologies Insiders Are Selling The Stock

The last three months saw significant insider selling at FARO Technologies. In total, Chairman & Lead Director John Donofrio dumped US$151k worth of shares in that time, and we didn't record any purchases whatsoever. This may suggest that some insiders think that the shares are not cheap.

Insider Ownership

Many investors like to check how much of a company is owned by insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. FARO Technologies insiders own about US$12m worth of shares. That equates to 1.4% of the company. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

So What Do The FARO Technologies Insider Transactions Indicate?

An insider hasn't bought FARO Technologies stock in the last three months, but there was some selling. And even if we look to the last year, we didn't see any purchases. Insiders own shares, but we're still pretty cautious, given the history of sales. So we'd only buy after careful consideration. Of course, the future is what matters most.
