Savaria (Sweden) completes the Offer to the shareholders in Handicare and extends the acceptance period

STOCKHOLM, Sweden, March 04, 2021 (GLOBE NEWSWIRE) -- On 27 January 2021, Savaria (Sweden) AB1 (“Savaria (Sweden)”), a company wholly owned by Savaria Corporation2 (“Savaria”), announced a recommended cash offer to the shareholders of Handicare Group AB (“Handicare”) to tender all their shares in Handicare to Savaria (Sweden) at a final price of SEK 50 in cash per share (the “Offer”).

At the end of the acceptance period on 4 March 2021, the Offer had been accepted by shareholders representing 56,118,445 shares in Handicare, corresponding to 95.2 per cent of the total number of shares and votes in Handicare. Since shareholders representing more than 90 per cent of the shares in Handicare have accepted the Offer, Savaria (Sweden) hereby announces that all conditions for completion of the Offer have been fulfilled. Accordingly, the Offer is declared unconditional in all respects and Savaria (Sweden) will complete the acquisition of the shares tendered in the Offer. Settlement of the shares tendered in the Offer up until 4 March 2021 will commence on 11 March 2021.

Savaria (Sweden) has initiated compulsory redemption of the remaining shares in Handicare and proposed that Handicare’s board of directors applies for delisting of Handicare’s shares from Nasdaq Stockholm.

Remaining shareholders in Handicare are hereby granted an extended acceptance period allowing those shareholders of Handicare to accept the Offer until 18 March 2021 at 5:00 p.m. (CET). Settlement for shares tendered during this extension of the acceptance period is expected to commence on or around 25 March 2021.

Since the Offer is now unconditional, shareholders of Handicare who accept the Offer during the extended acceptance period have no right to withdraw their acceptances.
