On June 21, 2021, Raven announced that it had signed an agreement to merge with CNH Industrial for approximately $2.1 billion. Pursuant to the merger agreement, Raven stockholders will receive $58 in cash for each share of Raven common stock owned. The deal is scheduled to close in the fourth quarter of 2021.

Bragar Eagel & Squire is concerned that Raven’s board of directors oversaw an unfair process and ultimately agreed to an inadequate merger agreement.
