Northern Announces Grant of Stock Options and RSUs to New Officers and Employees

Ottawa, Ontario--(Newsfile Corp. - May 4, 2023) - Northern Graphite Corporation (TSXV: NGC) (OTCQB: NGPHF) (FSE: 0NG) (XSTU: 0NG) (the "Company" or "Northern") announces that it has granted a total of 390,000 stock options to certain new officers and employees pursuant to the Company's Stock Option Plan. These stock options are exercisable to purchase common shares of the Company at an exercise price of $0.55 per share for a period of five years expiring on May 4, 2028. The stock options granted to officers vest 1/3 on each of January 4, 2024, 2025 and 2026, while the stock options granted to employees vest 1/4 on each of January 4, 2024 and 2025 and 1/2 on January 4, 2026. Additionally, the Company has granted a total of 490,000 restricted share units ("RSUs") to certain new officers and employees pursuant to the Company's Deferred Share Unit and Restricted Share Unit Compensation Plan‎. All of the RSUs granted vest 1/4 on each of January 4, 2024 and 2025 and 1/2 on January 4, 2026. Once vested, each RSU represents the right to receive one common share of the Company or the equivalent cash value thereof, at the Company's discretion.
