We’ve lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So before you buy or sell NBT Bancorp Inc. (NASDAQ:NBTB), you may well want to know whether insiders have been buying or selling.

What Is Insider Buying?

It is perfectly legal for company insiders, including board members, to buy and sell stock in a company. However, such insiders must disclose their trading activities, and not trade on inside information.

We don’t think shareholders should simply follow insider transactions. But equally, we would consider it foolish to ignore insider transactions altogether. For example, a Harvard University study found that ‘insider purchases earn abnormal returns of more than 6% per year.’

The Last 12 Months Of Insider Transactions At NBT Bancorp

Over the last year, we can see that the biggest insider sale was by Senior Executive VP & CFO Michael Chewens for US$168k worth of shares, at about US$36.33 per share. So what is clear is that an insider saw fit to sell at around the current price of US$35.91. They could have a variety of motivations for selling, but it’s still not particularly encouraging to see. We generally tread carefully if insiders have been selling on market, even if they sold slightly above the current price. The only individual insider seller over the last year was Michael Chewens.

Insider Ownership of NBT Bancorp

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. NBT Bancorp insiders own about US$27m worth of shares. That equates to 1.7% of the company. We’ve certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

So What Does This Data Suggest About NBT Bancorp Insiders?

An insider hasn’t bought NBT Bancorp stock in the last three months, but there was some selling. Zooming out, the longer term picture doesn’t give us much comfort. But it is good to see that NBT Bancorp is growing earnings. Insider ownership isn’t particularly high, so this analysis makes us cautious about the company. We’d think twice before buying!
