Have Insiders Been Selling Kirby Corporation (NYSE:KEX) Shares This Year?

We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. Unfortunately, there are also plenty of examples of share prices declining precipitously after insiders have sold shares. So we'll take a look at whether insiders have been buying or selling shares in Kirby Corporation (NYSE:KEX).

What Is Insider Buying?

Most investors know that it is quite permissible for company leaders, such as directors of the board, to buy and sell stock in the company. However, such insiders must disclose their trading activities, and not trade on inside information.

Insider transactions are not the most important thing when it comes to long-term investing. But it is perfectly logical to keep tabs on what insiders are doing. As Peter Lynch said, 'insiders might sell their shares for any number of reasons, but they buy them for only one: they think the price will rise.

The Last 12 Months Of Insider Transactions At Kirby

The Independent Director, William Waterman, made the biggest insider sale in the last 12 months. That single transaction was for US$1.6m worth of shares at a price of US$82.35 each. So what is clear is that an insider saw fit to sell at around the current price of US$80.99. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. Given that the sale took place at around current prices, it makes us a little cautious but is hardly a major concern.

In the last twelve months insiders netted US$3.4m for 41741 shares sold. In the last year Kirby insiders didn't buy any company stock. Insiders at Kirby Have Sold Stock Recently

Over the last three months, we've seen significant insider selling at Kirby. In total, insiders dumped US$123k worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.

Does Kirby Boast High Insider Ownership?

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Kirby insiders own 4.0% of the company, currently worth about US$192m based on the recent share price. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

So What Do The Kirby Insider Transactions Indicate?

Insiders haven't bought Kirby stock in the last three months, but there was some selling. And there weren't any purchases to give us comfort, over the last year. The company boasts high insider ownership, but we're a little hesitant, given the history of share sales. If you are like me, you may want to think about whether this company will grow or shrink.
