Are Insiders Selling Acceleron Pharma Inc. (NASDAQ:XLRN) Stock?

We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So shareholders might well want to know whether insiders have been buying or selling shares in Acceleron Pharma Inc. (NASDAQ:XLRN).

What Is Insider Selling?

Most investors know that it is quite permissible for company leaders, such as directors of the board, to buy and sell stock on the market. However, such insiders must disclose their trading activities, and not trade on inside information.

We would never suggest that investors should base their decisions solely on what the directors of a company have been doing. But equally, we would consider it foolish to ignore insider transactions altogether. As Peter Lynch said, 'insiders might sell their shares for any number of reasons, but they buy them for only one: they think the price will rise.'

The Last 12 Months Of Insider Transactions At Acceleron Pharma

The Director, Jean George, made the biggest insider sale in the last 12 months. That single transaction was for US$486k worth of shares at a price of US$41.17 each. So we know that an insider sold shares at around the present share price of US$40.86. While we don't usually like to see insider selling, it's more concerning if the sales take price at a lower price. In this case, the big sale took place at around the current price, so it's not too bad (but it's still not a positive). Jean George was the only individual insider to sell shares in the last twelve months.

Acceleron Pharma Insiders Are Selling The Stock

There was substantially more insider selling, than buying, of Acceleron Pharma shares over the last three months. We note Jean George cashed in US$486k worth of shares. On the other hand we note Director Joseph Zakrzewski bought US$190k worth of shares, as previously mentioned. Because the selling vastly outweighs the buying, we'd say this is a somewhat bearish sign.

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. I reckon it's a good sign if insiders own a significant number of shares in the company. Acceleron Pharma insiders own about US$26m worth of shares. That equates to 1.2% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
