Gold'n Futures Announces Private Placement of Units

Vancouver, British Columbia--(Newsfile Corp. - November 1, 2023) - GOLD'N FUTURES MINERAL CORP. (CSE: FUTR) (FSE: G6M) (OTC Pink: GFTRF) (the "Company" or "Gold'n Futures") is pleased to announce an offering of units of the Company ("Units") at C$0.01 per Unit for gross proceeds of up to C$130,000 (the "Offering") to be issued by way of a non-brokered private placement pursuant to exemptions from applicable Canadian securities laws. The size of the offering may be increased subject to Board of Directors and regulatory approval.

Each Unit will consist of one common share of the Company ("Common Share") and one Common Share purchase warrant ("Warrant"), with each Warrant entitling the holder to purchase one additional Common Share at a price of C$0.05, at any time prior to the date which is sixty (60) months from the closing of the private placement ("Closing Date"); provided that, if at any time after the Closing date, the volume weighted average trading price of the Common Shares on the CSE is at least C$0.10 per share for the preceding ten (10) consecutive trading days, the Company has the right to accelerate the expiry date of the Warrants issued under the Offering ("Warrant Acceleration Right") by way of written notice and press release. Subject to the Warrant Acceleration Right, the expiry date of the Warrants shall occur thirty (30) days from the end of the abovementioned ten (10) consecutive trading days and any Warrants not exercised during the thirty (30) day term shall expire.

The first closing under the Offering is scheduled to be on or about November 8, 2023, subject to customary closing conditions and may be closed in tranches. A finder's fee will be payable at the close of the Offering.

The Company intends to use the proceeds of the Offering for general working capital purposes and exploration expenses.
