EarthRenew Closes Over-Subscribed Private Placement

TORONTO, Oct. 20, 2021 (GLOBE NEWSWIRE) -- EarthRenew Inc. (CSE: ERTH; OTCQB: VVIVF) (“EarthRenew” or the “Company”) is pleased to announce the successful, over-subscribed closing of its previously announced, non-brokered private placement of 7,100,000 units (each a “Unit”), at a price of $0.20 per Unit, for gross proceeds of $1,420,000.00 (collectively, the “Offering”). The private placement was initially announced on October 13th, 2021, and contemplated raising gross proceeds of $1,100,000.00 Each Unit consists of one common share of the Company (each, a “Common Share”) and one Common Share purchase warrant (each, a “Warrant”). Each Warrant entitles the holder to acquire one Common Share, at an exercise price of $0.20 per Common Share, for a period of six (6) months from the date of issuance. All securities issued in connection with the Offering will be subject to a statutory hold period of four-months and one day. The Company intends to use the net proceeds of the Offering for expanding the fertilizer production capacity of its existing facilities and for general working capital purposes. No finder’s fees were paid in connection with the Offering.
